1. Agreement to Terms

By accessing or using the Vested Property Care website, customer portal, or any services coordinated through Vested Property Care ("VPC," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, customers, vendors, and any other users of the site or services.

2. Nature of Services — Coordination, Not Contracting

Vested Property Care is a home services coordination company. We connect homeowners with independent, licensed service providers ("Vendors") and provide scheduling, communication, oversight, and documentation services on behalf of our customers.

We do not perform licensed trade work. All plumbing, electrical, HVAC, roofing, structural, and other licensed services are performed by independent Vendors who maintain their own licenses, insurance, and business operations. Vested Property Care is not a general contractor, subcontractor, construction manager, or home warranty company as defined under Florida law.

For routine services coordinated through Vested Service Credits, VPC facilitates the engagement between the homeowner and the Vendor. For larger or licensed projects (such as roof replacement, HVAC installation, or structural work), the homeowner contracts directly with the service provider. VPC provides coordination and oversight only and is not a party to the service contract between the homeowner and the Vendor.

VPC does not guarantee, warrant, or insure the work performed by any Vendor. While we take reasonable steps to verify Vendor credentials through our Vested Verified process, the ultimate responsibility for the quality and completion of work rests with the performing Vendor.

3. Vendor Relationship

All Vendors in the Vested Property Care network are independent contractors. They are not employees, agents, or subcontractors of VPC. Each Vendor operates their own business, maintains their own licenses and insurance, sets their own rates (subject to coordination through VPC), and is solely responsible for the quality and safety of their work.

VPC's role is limited to coordinating the engagement, facilitating communication, monitoring progress, and documenting services in the homeowner's Vested Home Record. VPC does not direct, supervise, or control the means and methods by which Vendors perform their work.

4. Vested Verified Process

VPC independently verifies Vendor credentials through our Vested Verified process, which may include license verification, insurance confirmation, background screening, reference checks, and performance monitoring. This process is designed to help identify qualified professionals, but it does not constitute a guarantee or warranty of any Vendor's work.

Vetting information is current as of the date of verification and may change. VPC is not liable for any changes in a Vendor's licensing, insurance, or business status that occur after verification.

5. Subscription Plans and Vested Service Credits

VPC offers monthly subscription plans that include coordination services and Vested Service Credits. Vested Service Credits are prepaid units applied toward invoices for coordination and maintenance services performed through VPC. Credits do not apply to licensed trade work (plumbing, electrical, HVAC, roofing, structural), which is billed separately with coordination fees quoted per project. Credits are not a deposit, escrow, or insurance product.

Vested Service Credits must be used within 24 months of purchase. Unused credits expire after 24 months and are non-refundable. Credits are non-transferable except through VPC's gift credit feature.

Vested Service Credits have no cash value and cannot be redeemed for cash, refunded to a payment method, or exchanged for any form of monetary payment. Credits may only be applied toward invoices for coordination and maintenance services performed through VPC.

A coordination fee of 25% may apply to coordination service invoice amounts not covered by Vested Service Credits. A 48-hour grace period is provided to purchase additional credits before the fee is applied. For licensed trade work coordinated by VPC, coordination fees are quoted per project based on scope and complexity.

Subscription plans may be cancelled at any time. Upon cancellation, you retain access to your remaining Vested Service Credits until they expire. Subscription fees are non-refundable for the current billing period.

6. Payment Terms

All payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service in addition to these terms.

For services where the homeowner contracts directly with a Vendor (such as large projects), payment is made directly to the Vendor. VPC's coordination fee for such projects is billed separately.

7. Vested Home Record

The Vested Home Record is a documentation service that logs services, inspections, and repairs coordinated through VPC. While we strive for accuracy, the Vested Home Record is based on information provided by Vendors and our coordination team. VPC does not guarantee the completeness or accuracy of all entries.

The Vested Home Record is provided as a convenience and informational tool. It should not be relied upon as the sole source of documentation for insurance claims, real estate transactions, or legal proceedings without independent verification.

8. Limitation of Liability

To the maximum extent permitted by Florida law, VPC's liability for any claim arising from our coordination services is limited to the amount of fees paid by you to VPC in the twelve (12) months preceding the claim. VPC is not liable for any work performed by Vendors, including but not limited to property damage, personal injury, or consequential damages arising from Vendor services.

VPC does not guarantee response times, service availability, or specific outcomes. Statements regarding typical response times are estimates based on historical performance and are not binding commitments.

9. Indemnification

You agree to indemnify and hold harmless Vested Property Care, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these terms, or any dispute between you and a Vendor.

10. Dispute Resolution

Any disputes arising from these terms or VPC's services shall be governed by the laws of the State of Florida. You agree to first attempt to resolve any dispute informally by contacting us at [email protected].

If informal resolution is unsuccessful, any legal action shall be brought exclusively in the courts of Sarasota County, Florida.

11. Intellectual Property

All content on the VPC website, including text, graphics, logos, and software, is the property of Vested Property Care and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

12. Modifications to Terms

VPC reserves the right to modify these terms at any time. Material changes will be communicated through the website or via email to registered customers. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
